LECBA Bi-Laws

ARTICLE I - NAME The name of this not for profit association shall be the: LAKE ERIE CHARTER BOAT ASSOCIATION, INC.

ARTICLE II - PURPOSE
The purpose of this not for profit association is to encourage and promote sound fisheries management in Lake Erie, advance the charter boat sport fishing industry, promote a sportsman-like conduct, create a better working relationship between the Association and the sport fishing public, provide methods for improved boating and fishing techniques, and a means of working toward these goals.

ARTICLE III - MEMBERSHIPSECTION I - ACTIVE MEMBERSHIP
Active membership in this organization shall be limited to those persons who are duly licensed to operate a charter boat for hire on Lake Erie. You will receive the Charter Chatter newsletter, may run for or hold office in LECBA and vote for officers. You will be listed in the yearly and up-datable membership directory and listed on the LECBA’S web page. As an active member you may attend any monthly board meeting and bring forth or present issues. You may also chair or serve on committees.

a. Active members shall be responsible for their own drug program according to USCG rules.
b. Annual dues are to be paid by July 1 of each year. Members who have not paid their dues on or before the15th of August shall be dropped from the rolls.

SECTION II - ASSOCIATE MEMBERS AND THEIR PRIVILEGES
Any individual desiring to assist in extending the plans of the Association, shall be eligible for an associate membership. You may attend meetings and events, but may not cast votes for officers. Associate members are listed in our directory, will receive Charter Chatter and be listed on the LECBA’s web page.

a. Dues for an associate member shall be paid on or before July 1 of each year. Associate members who have not paid their dues on or before the 15th of August shall be dropped from the rolls.
b. Associate members, when no active or affiliate member can be found, can fill a position on the board and shall have the same voting privileges as a regular member during their term in office.


SECTION III - BUSINESS MEMBERS
Any Business Member desiring to assist in extending the plans of the Association, shall be eligible as a Business Member. You will receive the Charter Chatter newsletter, will be listed in the yearly membership directory and on the LECBA’s web page. You may attend any monthly board meeting or event but may not cast votes for officers.

SECTION IV - AFFILIATE MEMBERS
You must be a licensed Ohio Guide to become an Affiliate member and a member of another Charter Organization. You may attend any monthly board meeting or event, but may not cast a vote, unless appointed to or elected to the Board of Directors. You will be listed in the yearly membership directory and listed on the LECBA’s web page.

a. Dues for an Affiliate shall be paid by July 1 of each year. Members who have not paid their dues on or before the15th of August shall be dropped from the membership rolls.
b. Affiliate members, when no active member can be found, can fill the position of Secretary or Treasurer. An affiliate member who is elected to one of these positions shall have the same voting privileges as a regular member during their term.
c. Affiliate members shall be responsible for their own drug program according to USCG rules.

SECTION V - ORGANIZATIONAL MEMBERSHIP
Any Organization desiring to assist in extending the plans of the Association, shall be eligible for an Organizational membership. An Organizational Member must be another Charter or Sport fishing Group or Organization. We will include Organizations in our directory and on our Web page. If the Organization has a web site on the Internet LECBA requires a courtesy link back to LECBA’s web site.

ARTICLE IV - CANDIDATES FOR MEMBERSHIPSECTION I - METHODS FOR APPLICATION
A candidate for active or associate membership in this association shall apply by filling out an approved application form, said form and dues must be submitted to the association treasurer.

SECTION II - ACTION ON APPLICATION FOR MEMBERSHIP
The Board of Directors shall examine the applicants qualifications for active and/or for associated membership and shall approve (or disapprove) candidate for membership.

ARTICLE V - ANNUAL DUES SECTION I - ANNUAL DUES PAYMENT
Annual dues are to be paid by July 1 of each year. Members who have not paid their dues on or before the 15th of August shall be dropped from the membership roll.

SECTION II - REVOCATION OF MEMBERSHIP
Delinquent Dues:All dues to be paid by July 31 of each year. Members who have not paid their dues on or before the 15th of August shall be dropped from the membership rolls.Unethical Behavior:Any member will come before the Board for review for behavior not in accordance with the purpose of the Association, stated in Article II.

ARTICLE VI - OFFICERS AND MANAGEMENT OF ASSOCIATION
The management of this association shall be vested in a Board of Directors.

ARTICLE VII - OFFICERS AND BOARD MEMBERS

a. Officers of the Association shall consist of President, First Vice-President, Second Vice President, Secretary and Treasurer and shall be elected by t he active members in good standing.
b. Officers in the Association shall be an active or affiliate member in good standing.c. No officer may reside in the same household as another officer.


SECTION II - BOARD MEMBERS.
The Board shall consist of 15 members elected for the following terms: 5 elected to a three year term, 4 elected to a two year term and 6 elected to a one year term, which will include the Business Member Director. The person or persons receiving the most votes will receive the longer term available. The available Board positions will be voted on by mail in ballot every October. Announcements of said positions will be announced at the Fall Meeting.

DUTIES OF OFFICERSPRESIDENT’S DUTIES:
(1) The President shall chair all membership and Board of Directors meetings in a businesslike manner, based on the LECBA By-laws and Roberts Rules of Order.
(2) To follow, enforce and abide by the LECBA By-laws.
(3) The President shall vote only to break a tie at the Board of Directors meetings.
(4) To promote the Lake Erie Charter Boat Association and Lake Erie sport fishing.
(5) To keep in contact with the O.D.N.R. and State Legislators, as to new proposals, or new laws that would affect Lake Erie sport fishing, and/or the charter boat industry.
(6) To attend membership and Board of Directors meetings.

FIRST AND SECOND VICE-PRESIDENT DUTIES:
(1) The Vice-President shall chair all membership and Board of Directors meetings in a business like manner, based on the L.E.C.B.A. By-laws and Roberts Rules of Order when called upon by the President.
(2) The Vice-President shall help fulfill any of the President’s duties when called upon by the President
(3) To follow and abide by the L.E.C.B.A. By-laws.
(4) To promote the Lake Erie Charter Boat Association and Lake Erie sport fishing.
(5) To attend membership and Board of Directors meetings.

SECRETARIES DUTIES:
(1) To attend and keep a written attendance record at all membership and Board of Directors meetings.
(2) To keep legible written minutes at all Board of Directors meetings.
(3) To timely file all typed/written records and minutes in the L.E.C.B.A. files.
(4) To timely file correspondence in the L.E.C.B.A. files.
(5) To give a verbal Secretary minutes report at all membership meetings.
(6) To type and mail all L.E.C.B.A. correspondence for the President.
(7) To attend membership and Board of Directors meetings. In the Secretary’s absence, the President shall appoint a Board member to fill the position temporarily.
(8) To take a phone poll if funding of over $500 is needed by the treasurer.

TREASURER’S DUTIES:
(1) To supply the membership with a written annual financial report by mail.
(2) To supply the President, Officers and Board of Directors a written and verbal itemized Treasurer’ s report at all membership meetings.
(3) To send the membership a written dues reminder each year and to collect annual membership dues. All membership checks will be cashed within fifteen days.
(4) To handle and collect all monies associated with the L.E.C.B.A. meetings, donations, etc.
(5) To supply the Secretary with the membership names and addresses, and any updating of such for mailings, etc.
(6) To pay approved L.E.C.B.A. bills in a timely manner. to get approval of the board for funding of over $500, a vote of the board must be conducted by the Secretary.
(7) To follow and abide by the L.E.C.B.A. By-laws.
(8) To promote the Lake Erie Charter Boat Association.
(9) To timely file L.E.C.B.A. taxes and incorporation form each year at the end of the fiscal year. The fiscal year ends September 30th each year.
(10) To attend membership and Board of Directors meetings.
(11) To handle the bonding of L.E.C.B.A. Officers.

DIRECTORS DUTIES:
(1) To follow and abide by the L.E.C.B.A. By-laws.
(2) To promote the Lake Erie Charter Boat Association.
(3) To promote Lake Erie’s sport fishing.
(4) To attend membership and Board of Directors meetings. Any member of the Board of Directors who cannot attend a scheduled board meeting shall notify the Secretary 3 days prior to the day of the meeting.
(5) To serve on various committees as designated by the President.

SECTION III
The President, with the approval by the Boar d of Directors, shall appoint a qualified active member to fill any office or Board of Directors position which shall become vacant. Said appointee shall serve the remainder of said term and may become eligible for election for the next regular term.(a) Where no active member can be found, an affiliate member may be considered to serve the remainder of said term.

ARTICLE VIII - MEETINGS SECTION I
Annual Spring and Fall meetings of the general membership and associated members shall be held within thirty days of the second Saturday in April and within thirty days of the first Saturday in November. The date to be designated by the Board of Directors. Said membership shall be notified within 30 days of the meeting.

SECTION II
Special meetings may be called by the President or at the request of four members of the Board of Directors.

ARTICLE IX - MEETINGS OF DIRECTORS

SECTION I
The Board of Directors shall hold at least nine monthly meetings during the year and may hold as many additional meetings as deemed necessary by a majority of the Board or by the President.

SECTION II
Ten (10) members and/or Officers of the Board shall constitute a quorum.

SECTION III
Any Officer or Member of the Board of Directors who cannot attend a scheduled board meeting shall notify the Secretary three (3) days prior20to the day of the meeting.

SECTION IV
Any Officer or Member of the Board of Directors who shall be absent for three
(3)consecutive board meetings or a total of three (3) meetings in a fiscal year shall be deemed to have resigned said position and his place shall be filled as provided by Article VII, Section III of these By-laws.

ARTICLE X - ORDER OF BUSINESS
The order of business of all meetings of the association shall be:
(1) President shall call meeting to order.
(2) Secretary shall read minutes of previous business and Board of Directors meetings.
(3) Complete Treasurer’s report on financial condition.
(4) Membership shall approve Minutes my motion and vote.
(5) Communication and bills.
(6) Reports of all committees.
(7) Old Business.
(8) New Business.
(9) Elections.
(10) Motion for adjournment.

ARTICLE XI - RULES OF ORDER
The conduct of the meetings of the association shall be governed by Roberts Rules of Order when not in conflict with the Charter and By-laws.

ARTICLE XII - AMENDMENTS
Amendments to these By-laws shall be made by mail-in ballot with at least 30 days advance notice to the entire active membership.
